Terms of Service
These terms describe the rules that apply when an organization or authorized user uses Maqno, including responsibilities around accounts, customer content, acceptable use, AI outputs, subscriptions, and service access.
Agreement to these Terms
These Terms of Service apply to access to and use of Maqno, related websites, applications, support interactions, and services provided by Mampu in connection with Maqno.
By accessing or using Maqno, you agree to these terms on behalf of yourself and, when applicable, the organization that authorized your access. If you do not agree to these terms, you should not use Maqno.
If your organization has a separate written agreement with Mampu, that agreement controls where it conflicts with these terms.
Subject to your compliance with these terms and any applicable customer agreement, Mampu grants you a limited, non-exclusive, non-transferable right to access and use Maqno during the applicable subscription or evaluation period for your internal business purposes.
Accounts and Authorized Users
Accounts should be used only by authorized users and managed carefully by the customer organization.
- You must provide accurate account information and keep account credentials secure.
- You are responsible for activity that occurs through your account, except where the activity results from Mampu's failure to meet its own obligations.
- Customer organizations are responsible for managing user access, roles, Team membership, Document Workspace permissions, and Knowledge Base access for their authorized users.
- You may not sell, lease, share, sublicense, or otherwise make an account available to another person unless Mampu or the customer organization has expressly authorized that access.
- You must promptly notify Mampu or your organization's administrator if you believe an account has been compromised.
Customer Content
Customer content includes documents, files, prompts, messages, citations, Knowledge Base content, Conversation history, metadata, and other materials submitted to or generated through Maqno by or on behalf of a customer organization.
Customer organizations retain their rights to customer content. Mampu may process customer content to provide, secure, maintain, support, and improve Maqno, and to create aggregated or de-identified operational statistics that do not identify the customer or disclose confidential customer content.
You are responsible for ensuring that you have the rights and permissions needed to upload, process, access, and use customer content in Maqno.
Mampu handles personal data and related information according to the applicable agreement and our Privacy Policy. If a separate data processing agreement is required for a customer deployment, it should be documented in writing between Mampu and the customer organization.
Acceptable Use
You may access and use Maqno only in compliance with these terms, applicable laws, customer agreements, service documentation, and policies that Mampu makes available for the service.
You may not use Maqno for illegal, harmful, abusive, or unauthorized activity. For example, you may not:
- Infringe, misappropriate, or violate anyone's rights, including privacy, confidentiality, intellectual property, or contractual rights.
- Provide, upload, or process documents, prompts, data, or other content unless you have the rights, licenses, and permissions needed to do so.
- Modify, copy, lease, sell, resell, sublicense, distribute, or make Maqno available to third parties except as expressly allowed in writing.
- Reverse engineer, decompile, discover, extract, or attempt to access the source code, underlying components, models, algorithms, prompts, systems, or security controls of Maqno, except where that restriction is prohibited by law.
- Automatically or programmatically scrape, harvest, extract, or bulk download data, customer content, service materials, or outputs except through documented product features or written permission from Mampu.
- Interfere with, disrupt, overload, probe, scan, bypass, or circumvent Maqno, related infrastructure, rate limits, access controls, safety measures, or restrictions.
- Submit malicious code, intentionally harmful content, or materials designed to compromise, damage, or gain unauthorized access to Maqno or related systems.
- Misrepresent AI-generated output as human-generated, misrepresent your affiliation with another person or organization, or use Maqno to deceive others about the source of content.
- Use Maqno or its outputs to make legal, medical, financial, employment, housing, insurance, safety, or other high-impact decisions about a person without appropriate human review and qualified professional judgment.
AI Outputs and Verification
Maqno is designed to provide source-backed answers from documents and knowledge sources made available in the service. AI-generated outputs may still be incomplete, inaccurate, or dependent on the quality of the underlying content and configuration.
You are responsible for reviewing outputs, checking cited sources, and deciding whether an output is appropriate for your use case. Maqno should be used as a productivity and knowledge tool, not as the sole basis for critical decisions.
To the extent Mampu has rights in outputs generated specifically for a customer from that customer's content, Mampu assigns those rights to the customer organization, subject to the applicable agreement. Because AI systems can produce similar responses for different users, similar output generated for another customer is not considered your customer content or your exclusive output.
Subscriptions, Fees, and Taxes
Paid plans, subscriptions, implementation services, support packages, or usage-based charges are governed by the applicable order form, subscription terms, statement of work, invoice, or written agreement between Mampu and the customer organization.
Unless otherwise stated in a written agreement, fees are exclusive of taxes, duties, bank charges, and similar assessments, which remain the customer organization's responsibility.
Unless a written agreement says otherwise, payment obligations are non-cancelable and paid fees are non-refundable. Mampu may invoice overdue amounts, suspend access for material non-payment, or adjust pricing for future subscription periods with reasonable notice.
Electronic Communications
By using Maqno, you agree that Mampu may send service-related communications electronically, including account notices, billing notices, security notices, transactional emails, and updates about these terms.
Electronic notices satisfy any requirement that a communication be in writing, to the extent permitted by law. You are responsible for keeping billing, administrator, and account contact information current.
Service Availability and Changes
Mampu may update, improve, suspend, or modify Maqno from time to time, including to maintain security, improve performance, add features, address operational needs, or comply with legal requirements.
Mampu will use commercially reasonable efforts to operate Maqno reliably, but the service may be unavailable during maintenance, incidents, third-party service interruptions, or events outside Mampu's reasonable control.
Confidentiality, Security, and Third-Party Services
Each party may receive confidential information through the use, evaluation, support, or operation of Maqno. Confidential information should be protected with reasonable care and used only for the purpose for which it was provided.
Mampu uses reasonable administrative, organizational, and technical safeguards designed to protect Maqno and customer content. Customer organizations remain responsible for managing their own users, permissions, devices, and internal governance decisions.
Maqno may rely on third-party infrastructure, hosting, payment, analytics, email, support, or integration providers. Mampu is not responsible for third-party services that a customer chooses to connect to Maqno, and customers are responsible for having the rights and third-party permissions needed for those connections.
Proprietary Rights and Feedback
Mampu and its licensors retain all rights in Maqno, including the software, interfaces, workflows, models, documentation, designs, trademarks, and service materials, except for rights expressly granted in these terms or a written agreement.
If you provide comments, suggestions, ideas, or other feedback about Maqno, Mampu may use that feedback without restriction or compensation, while your organization retains ownership of its customer content.
Intellectual Property Infringement
Mampu respects intellectual property rights and expects Maqno users to do the same. If you believe content made available through Maqno infringes your copyright, trademark, or other intellectual property rights, please contact business@maqno.ai with enough detail for us to review the request.
Your notice should identify the protected work, identify the allegedly infringing material, provide your contact information, and include a statement that you have a good faith belief that the use is not authorized by the rights holder, its agent, or the law.
Suspension and Termination
Mampu may suspend access to Maqno if necessary to address security risks, suspected misuse, non-payment, legal requirements, or material violations of these terms or an applicable customer agreement.
Upon termination or expiration of an applicable agreement, access to Maqno may end. Customer content will be handled according to the applicable agreement, service configuration, and data retention commitments.
Indemnification
To the extent permitted by law and unless a written agreement says otherwise, you and the customer organization agree to defend and indemnify Mampu from third-party claims arising from customer content, unauthorized use of Maqno, violation of these terms, or violation of another person's rights by you or your authorized users.
Mampu will provide reasonable notice of covered claims and may participate in the defense. The customer organization may not settle a claim in a way that admits fault by Mampu or imposes obligations on Mampu without Mampu's written consent.
Disclaimers and Limitation of Liability
To the maximum extent permitted by law, Maqno is provided without warranties not expressly stated in a written agreement. Mampu does not guarantee that Maqno will be uninterrupted, error-free, or that every output will be complete or accurate.
To the maximum extent permitted by law, Mampu will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, except where such limitations are prohibited by law or modified by a written agreement.
Local Laws and Export Compliance
You are responsible for using Maqno in compliance with laws and regulations that apply to your organization, users, content, and deployment location, including privacy, procurement, records, sanctions, export control, and industry-specific requirements.
You may not use Maqno where doing so would violate applicable sanctions, export control restrictions, or other legal restrictions on access to software or cloud services.
Updates to these Terms
Mampu may update these terms from time to time to reflect changes in Maqno, business practices, legal requirements, or service operations. When we do, we will update the effective date shown on this page and, where appropriate, provide additional notice.
